1. Agreement to these Terms

These Terms of Service ("Terms") are a binding agreement between you and Macro Exits, Inc. ("Macro Exits," "we," "us"), governing your access to and use of macroexits.com and related services (the "Platform"). By creating an account, browsing listings, making or accepting an offer, or otherwise using the Platform, you agree to these Terms. If you do not agree, do not use the Platform.

You must be at least 18 years old and able to form a binding contract to use the Platform.

2. What Macro Exits is — and is not

Macro Exits is an online marketplace and a set of tools that lets sellers list small digital businesses and lets buyers discover them, communicate, and transact. We are a neutral venue and technology provider only.

Macro Exits is NOT a broker, broker-dealer, business broker, investment adviser, financial adviser, accountant, appraiser, fiduciary, escrow agent, or party to any transaction between a buyer and a seller. We do not represent either side, we do not negotiate on your behalf, and we do not give financial, legal, tax, or investment advice.

3. Figures are seller-reported and unverified

Every figure, metric, statement, screenshot, projection, and description associated with a listing is provided by the seller. Macro Exits does not verify, audit, endorse, guarantee, or warrant any of it, and does not independently confirm a seller's identity, ownership, revenue, profit, traffic, or right to sell.

Any disclosure levels, badges, scores, or summaries shown on the Platform describe how much a seller has chosen to disclose and reflect automated analysis of the seller's own materials. They are not statements of fact, accuracy, quality, or value, and must not be relied upon as such.

4. Buyer responsibility and independent due diligence

You are solely responsible for evaluating each opportunity and for your decision to buy. You agree to conduct your own independent due diligence and to rely only on information you have independently verified — not on any figure, badge, score, or report displayed on the Platform.

Any purchase you make is at your own risk. Macro Exits is not responsible for a business's past, present, or future performance, or for a seller's conduct or misrepresentations.

5. AI diligence tools are advisory only

The Platform may present automated analyses generated with third-party AI models that flag questions and potential risks based on the seller's reported materials. These analyses are automated, advisory, and provided “as is.” They may be incomplete, out of date, or wrong, and they are not a substitute for professional advice or your own investigation. Macro Exits does not warrant their accuracy or completeness.

6. Seller obligations

• You warrant that you own or have the right to sell the business and all assets you list, and to transfer them free of undisclosed encumbrances.
• You warrant that every figure, statement, and document you provide is accurate, current, and not misleading, and you will promptly correct anything that becomes inaccurate.
• You are solely responsible for your listing, your disclosures, and your communications and dealings with buyers.
• You will not list businesses that infringe others' rights, violate any law or platform policy, or that you do not genuinely intend to sell.

7. No financial, legal, or tax advice

Nothing on the Platform is financial, investment, legal, accounting, or tax advice, and nothing is an offer or solicitation by Macro Exits to buy or sell any business or security. Consult your own qualified professionals before transacting.

8. Transactions happen off the Platform

Macro Exits connects buyers and sellers; it does not process, hold, escrow, or facilitate any payment, and it is not a party to any sale. Any transaction — including price, terms, payment, and the transfer of any asset or account — is arranged and completed directly between the buyer and the seller, off the Platform and at their own risk.

Macro Exits does not guarantee that any buyer or seller is legitimate, that any transaction will complete, or that either party will perform. Buyers and sellers are responsible for their own agreements, payment methods, taxes, transfers, and compliance with applicable law.

9. No document hosting or exchange

Macro Exits does not host, store, transmit, or facilitate the exchange of any documents, financial records, or files between users. Listings display only the summary information a seller types into our form.

Where a listing indicates that a seller will provide a profit-and-loss statement, exports, or other records "on request," that exchange happens directly between the buyer and the seller by their own means and entirely at their own risk. Macro Exits is not a party to it, never receives or retains those materials, and accepts no responsibility for their accuracy, confidentiality, security, or handling.

Do not attempt to transmit confidential or personal documents through the Platform. You are solely responsible for how you share information with a counterparty and for complying with any applicable confidentiality or data-protection obligations.

10. Fees

Buyers use the Platform for free. Sellers pay a flat listing fee (from $39) to publish a listing, and optional upgrade fees for featured placement or a Drop spotlight, as described at the point of purchase. Listing fees pay for placement only — they are not contingent on a sale, and Macro Exits takes no commission or percentage of any sale. Fees are non-refundable except as required by law or expressly stated.

11. Prohibited conduct

• Posting false, misleading, fraudulent, or infringing content.
• Circumventing the Platform to avoid fees, or soliciting users off-Platform to evade these Terms.
• Scraping, reverse engineering, or disrupting the Platform or its security.
• Unlawful, deceptive, or abusive behavior toward other users or Macro Exits.

12. Disclaimers

THE PLATFORM AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTY REGARDING THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY LISTING, FIGURE, SCORE, OR ANALYSIS. MACRO EXITS DOES NOT WARRANT THAT ANY BUSINESS WILL PERFORM AS DESCRIBED.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MACRO EXITS AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR BUSINESS LOSSES, ARISING FROM OR RELATED TO THE PLATFORM OR ANY TRANSACTION.

OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID TO MACRO EXITS IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) US $100.

14. Indemnification

You will indemnify and hold harmless Macro Exits from any claim, loss, or expense (including reasonable legal fees) arising from your content, your transactions, your breach of these Terms, or your violation of any law or third-party right.

15. Dispute resolution and governing law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-laws rules. Except where prohibited, any dispute will be resolved by binding individual arbitration seated in Wilmington, Delaware, and you and Macro Exits waive any right to a jury trial or to participate in a class action. 16. Changes, termination, and contact

We may update these Terms; material changes will be posted here with a new effective date, and continued use means you accept them. We may suspend or terminate access for any violation. If any provision is unenforceable, the rest remains in effect.
